1.12. Where an accepted quotation or service schedule expressly varies these terms, that specific agreement takes precedence for the relevant matter.

1.13. Any mandatory statutory rights take precedence over these terms.

1.14. A Client’s purchasing terms do not apply unless expressly accepted by Nethaus in writing.

2. Quotations and contract formation

2.1. Unless otherwise stated, quotations are valid for 30 days.

2.2. Quotations are based on information available at the time of preparation, including site conditions, drawings, specifications and Client instructions.

2.3. Only goods and services expressly identified in the quotation are included.

2.4. Quotations may contain assumptions, exclusions, provisional allowances and dependencies, which form part of the proposed scope.

2.5. A Contract is formed when Nethaus confirms acceptance of the Client’s order or otherwise expressly agrees to proceed.

2.6. Acceptance may be communicated in writing, electronically or through another method offered by Nethaus.

2.7. Nethaus may require advance payment, technical approval, confirmed specifications or other prerequisites before commencing work or ordering equipment.

2.8. Estimated delivery dates, installation dates and lead times are not guaranteed unless expressly agreed as binding commitments.

2.9. Changes to specifications, quantities, equipment selections or project requirements may require revised pricing and timescales.

2.10. Any discounts, concessions or preferential rates apply only to the scope and payment arrangements expressly agreed.

2.11. Where the Client materially reduces or changes the agreed scope, Nethaus may propose revised pricing for the remaining work.

3. Design, surveys and consultancy

3.1. Surveys, technical assessments, system design, drawings, specifications, programming schedules, feasibility studies and consultancy may be chargeable professional services.

3.2. Where a survey or consultation is expressly described as complimentary, only the agreed scope of that service is complimentary.

3.3. Additional surveys, redesigns, revisions, technical meetings or coordination work outside the agreed scope may be chargeable, subject to Client approval where required.

3.4. Unless expressly agreed otherwise, Nethaus retains intellectual property rights in its original designs, drawings, specifications, documentation and technical work.

3.5. Designs and specifications prepared by Nethaus are provided for the purposes agreed with the Client and must not be reproduced, commercially distributed or used to procure an equivalent installation from another supplier without Nethaus’s written consent, except where permitted by law.

3.6. Where the Client commissions design or consultancy independently of installation, the relevant fees will be agreed before chargeable work begins.

3.7. Where a Client subsequently purchases equipment directly from another supplier, Nethaus may revise the remaining installation, programming and commissioning scope and charges by agreement.

3.8. Design and consultancy fees properly incurred remain payable in accordance with the agreed Contract.

3.9. Unless expressly included, Nethaus does not provide architectural, structural, electrical engineering certification or other regulated professional design services.

4. Intellectual property, software and source code

4.1. All intellectual property rights in original software, scripts, programming, control logic, configuration templates, libraries, automation routines and uncompiled source code developed by Nethaus remain the property of Nethaus, unless expressly agreed otherwise in writing.

4.2. Ownership of physical equipment does not transfer ownership of Nethaus’s underlying intellectual property.

4.3. Upon payment in full, the Client receives a perpetual, non-exclusive licence to use the completed programming, compiled code and associated software developed by Nethaus for the operation and maintenance of the system for which it was supplied.

4.4. This licence permits ordinary operation of the installed system and does not grant ownership of the underlying source code or proprietary development materials.

4.5. Nethaus is not obliged to supply, disclose or transfer uncompiled source code, editable project files, proprietary scripts, development libraries or programming tools unless expressly agreed in writing.

4.6. Any agreed release of such materials may be subject to separate licensing terms and charges.

4.7. The Client must not reproduce, distribute, commercially exploit or reuse Nethaus’s proprietary code for another installation without written permission, except where permitted by law.

4.8. These provisions do not prevent the Client from using their installed system or exercising applicable statutory rights.

4.9. Intellectual property belonging to manufacturers, software developers or other third parties remains subject to their respective ownership and licensing arrangements.

4.10. Nethaus may reuse its general knowledge, techniques, programming methods, reusable libraries and non-confidential development work in other projects.

4.11. Client-specific confidential information and personal data will not be disclosed or reused except as permitted by the Contract and applicable law.

4.12. Where a manufacturer requires project files or configuration information to be accessible through its authorised service platform, Nethaus will comply with the applicable licensing arrangements and legal obligations.

5. Prices and payment

5.1. All prices are stated in pounds sterling unless otherwise specified.

5.2. Quotations will identify whether prices include or exclude applicable VAT, GST or other taxes.

5.3. Unless otherwise expressly agreed, equipment must be paid for in full before Nethaus places the relevant supplier order.

5.4. Special-Order Goods, including bespoke blinds, custom-finished products and made-to-measure equipment, normally require 100% advance payment.

5.5. Alternative payment arrangements, including deposits and balances payable on completion, must be expressly agreed in the quotation or written order confirmation.

5.6. Installation projects may be subject to staged payments specified in the quotation.

5.7. Unless otherwise agreed, invoices for service calls, repairs and small works are payable within seven calendar days.

5.8. Approved Business Clients may be offered credit terms, normally 14 calendar days from invoice.

5.9. Credit arrangements may be reviewed or withdrawn for future orders.

5.10. Nethaus is not obliged to place equipment orders or commence work until the relevant agreed advance payment has cleared.

5.11. Advance payments are applied towards the relevant Contract and are not automatically non-refundable.

5.12. Refund entitlement is determined by the Contract, work completed, costs properly incurred and applicable law.

5.13. Nethaus may suspend further work or ordering following reasonable written notice of material non-payment, where lawful.

5.14. For qualifying business debts, Nethaus may claim statutory late-payment interest and recovery costs.

5.15. Consumer interest and recovery charges, where applicable, must comply with consumer protection legislation.

5.16. Invoice disputes should be raised promptly and identify the amounts and reasons disputed. Undisputed sums remain payable when due.

5.17. Minor outstanding defects do not automatically justify withholding the entire outstanding balance, without prejudice to applicable legal rights.

5.18. Retentions, deferred payment arrangements and credit facilities must be expressly agreed in writing.

6. Equipment ordering and ownership

6.1. Nethaus may source equipment from manufacturers, authorised distributors and other suitable suppliers.

6.2. Product availability, specifications, finishes and lead times may change.

6.3. Material substitutions affecting functionality, appearance or price require Client approval.

6.4. Special-Order Goods may require confirmation of dimensions, finishes, specifications or manufacturing details before ordering.

6.5. The Client is responsible for checking selections and specifications expressly submitted for approval.

6.6. Nethaus remains responsible for measurements and technical specifications that it has expressly undertaken to determine professionally.

6.7. Ownership of Goods remains with Nethaus until the relevant Goods have been paid for in full, to the extent permitted by law.

6.8. Risk of loss or damage transfers in accordance with applicable law and the agreed delivery arrangements.

6.9. Goods held following Client-requested postponement may be subject to reasonable, previously notified storage or handling charges where agreed or lawfully recoverable.

6.10. Where equipment becomes unavailable, Nethaus will discuss alternatives, revised timescales or applicable cancellation and refund rights.

7. Cancellations and refunds

7.1. Clients wishing to cancel or postpone an order should notify Nethaus in writing as soon as possible.

7.2. Statutory cancellation rights take precedence over contractual cancellation provisions.

7.3. Where cancellation occurs outside any applicable statutory cancellation right, Nethaus may recover reasonable losses and costs arising from the cancellation, subject to applicable law.

7.4. Recoverable costs may include properly incurred design fees, completed services, non-recoverable supplier charges, equipment commitments and other reasonable losses attributable to cancellation.

7.5. Nethaus will take reasonable steps to mitigate cancellation losses where commercially practicable.

7.6. Cancellation charges will not operate as penalties or exceed amounts lawfully recoverable.

7.7. Special-Order Goods may be unsuitable for cancellation or return once manufacturing or supplier commitments have commenced. This does not remove statutory rights.

7.8. Cancellation of confirmed special orders by Business Clients is subject to Nethaus’s written agreement and payment of reasonable, properly incurred costs and losses.

7.9. Where Nethaus cannot fulfil an order, the Client will receive the refund or other remedy required by the Contract and applicable law.

8. Consumer cancellation rights

8.1. Consumers may have statutory cancellation rights depending on the type of contract, how it was concluded and the applicable jurisdiction.

8.2. For qualifying Great Britain distance and off-premises contracts, the normal statutory cancellation period is 14 days, calculated according to the type of contract.

8.3. Certain exceptions apply, including qualifying goods made to the Consumer’s specifications or clearly personalised.

8.4. Goods do not automatically qualify for an exception merely because they have been ordered specifically for a project.

8.5. Where a Consumer requests commencement of services during a statutory cancellation period, Nethaus may require the express request and acknowledgements prescribed by applicable law.

8.6. Where a valid cancellation occurs after services have commenced, any charge for work performed will be determined in accordance with applicable legislation.

8.7. Qualifying Jersey distance contracts are subject to the Distance Selling (Jersey) Law 2007 and other applicable Jersey legislation.

8.8. Where required, Nethaus will provide cancellation information, instructions and the appropriate model cancellation form before the Contract is concluded.

8.9. Cancellation notices may be sent to hello@nethaus.co.uk or the correspondence address specified in the Contract.

8.10. Nothing in these terms restricts statutory rights concerning faulty goods, defective services, misdescription, non-delivery or non-performance.

9. Installation and site conditions

9.1. The Client must provide safe and reasonable access to relevant working areas at agreed times.

9.2. The Client must disclose known hazards, access restrictions and relevant building conditions.

9.3. Unless expressly included, the Client is responsible for obtaining necessary permissions, consents and approvals.

9.4. Suitable electrical supplies, internet connectivity, structural provisions and other agreed prerequisites must be available when required.

9.5. Existing wiring, infrastructure and equipment are assumed suitable only to the extent expressly confirmed by Nethaus.

9.6. Concealed defects, damaged wiring, unsafe installations, inaccessible equipment and unforeseen conditions may require additional work.

9.7. Material additional work will be explained and approved before proceeding, except where immediate action is reasonably necessary to make an unsafe situation safe.

9.8. Nethaus may suspend or decline work where site conditions present unacceptable safety risks.

9.9. Unless expressly included, plastering, decorating, building alterations, specialist joinery, making good and hazardous-material removal are excluded.

9.10. Nethaus will exercise reasonable care to protect the property and minimise disruption.

9.11. The Client should protect or remove fragile, valuable or sensitive items from working areas.

9.12. Nethaus remains responsible for damage caused by its failure to exercise reasonable care and skill.

10. First-fix cabling and infrastructure

10.1. First-fix cabling, containment, builders’ work, electrical supplies and associated infrastructure are included only where expressly specified in the quotation.

10.2. Existing cabling and infrastructure may require testing before suitability can be confirmed.

10.3. Nethaus does not guarantee the condition, performance or compliance of existing infrastructure that it has not installed or expressly certified.

10.4. Faulty, incorrectly terminated, damaged or non-compliant cabling may require additional chargeable work.

10.5. Cable certification, testing records and as-built documentation are included only where expressly specified.

10.6. Where third parties undertake cabling or infrastructure works, they remain responsible for their own work.

10.7. Additional labour arising from incomplete or defective third-party infrastructure may be chargeable with Client approval.

11. Variations and additional works

11.1. Changes to the agreed scope may affect equipment, price and programme.

11.2. Variations may arise from Client requests, unforeseen conditions, additional faults, manufacturer changes or integration requirements.

11.3. Nethaus will provide a quotation or estimate for material variations wherever reasonably practicable.

11.4. Chargeable variations require Client approval, which may be given electronically or by another agreed written method.

11.5. Authorised time-and-materials work is charged at the agreed or prevailing rates, together with approved materials and other applicable charges.

11.6. Work outside the original scope is not included merely because it relates to the same property or system.

11.7. Additional programming, configuration, commissioning or testing resulting from Client changes or third-party work may be chargeable.

11.8. Where cumulative variations exceed 5% of the original Contract value, Nethaus may request an additional stage payment proportionate to the approved additional work, subject to written agreement and applicable law.

11.9. Completion dates may be reasonably revised to reflect approved variations.

12. Diagnostic work and service calls

12.1. Diagnostic investigation, fault-finding, testing and technical assessment are chargeable services unless expressly included within an applicable support agreement.

12.2. Charges may apply whether or not the reported fault is identified or resolved, provided the authorised diagnostic services have been performed with reasonable care and skill.

12.3. A diagnostic visit does not guarantee successful repair.

12.4. Some faults may require additional investigation, replacement components, manufacturer assistance or further visits.

12.5. Additional work beyond the agreed diagnostic scope requires approval where applicable.

12.6. Where a fault is found to be covered by Nethaus’s applicable warranty or statutory obligations, diagnostic charges will be handled accordingly.

12.7. Nethaus may recommend replacement rather than repair where equipment is obsolete, unsupported or uneconomical to maintain.

13. Legacy and unsupported systems

13.1. Nethaus may agree to inspect, maintain or modify existing systems, including installations originally supplied by other contractors.

13.2. Legacy systems may contain obsolete equipment, undocumented programming, unsupported software, degraded components or pre-existing faults.

13.3. Nethaus cannot guarantee that legacy equipment will remain operational, compatible or repairable indefinitely.

13.4. Changes to older systems may expose existing defects or incompatibilities that were not reasonably identifiable beforehand.

13.5. Nethaus will exercise reasonable care and skill when working on legacy systems but is not responsible for faults solely attributable to pre-existing conditions or inherent equipment defects.

13.6. Where a material risk of disruption is identified, Nethaus will explain the risk and seek Client authorisation before proceeding, where reasonably practicable.

13.7. Restoring unsupported systems may require additional labour, replacement equipment or manufacturer assistance.

13.8. Where repair is technically or commercially impracticable, Nethaus may recommend replacement or upgrade.

14. Client-supplied equipment and third-party modifications

14.1. Nethaus may agree to install, configure or integrate equipment supplied by the Client or another contractor.

14.2. Acceptance is subject to technical suitability, compatibility, condition and available manufacturer support.

14.3. Nethaus does not provide a product warranty for equipment it has not supplied.

14.4. Nethaus remains responsible for performing its own services with reasonable care and skill.

14.5. Additional work caused by defective, incompatible, incomplete or incorrectly specified third-party equipment may be chargeable with approval.

14.6. Where the Client purchases equipment directly, supplier warranty claims, returns and delivery responsibilities ordinarily remain with the Client and the supplying retailer.

14.7. Changes made by other contractors to programming, networks, lighting systems, automation controllers or integrated equipment may affect system operation.

14.8. Nethaus is not responsible for failures caused solely by unauthorised third-party modifications or work carried out by others.

14.9. Investigation and rectification of such failures may be chargeable.

14.10. Nethaus may require a technical assessment before accepting responsibility for ongoing maintenance of a system modified by another contractor.

15. System credentials, accounts and remote access

15.1. Modern systems may require administrator credentials, cloud accounts, manufacturer registrations, remote-access facilities and software licences.

15.2. Accounts established in the Client’s name remain subject to the Client’s ownership and the relevant service provider’s terms.

15.3. Nethaus may retain authorised technical, dealer or service access where necessary for agreed support and maintenance.

15.4. Nethaus will not unreasonably withhold Client-owned administrator credentials or account access that the Client is legally or contractually entitled to receive.

15.5. Proprietary source code, development tools and intellectual property are governed separately by Section 4.

15.6. The Client authorises Nethaus to use agreed remote-access facilities for legitimate diagnostic, maintenance, configuration and support purposes.

15.7. Nethaus will use reasonable security measures when accessing systems remotely.

15.8. Material system changes will be authorised in accordance with the agreed support arrangements, except where immediate action is legally justified.

15.9. The Client may request the removal of Nethaus’s remote access, subject to any continuing contractual requirements and applicable law.

15.10. Removal of remote access may affect Nethaus’s ability to provide remote support or fulfil agreed service levels.

15.11. Credentials and access arrangements must not be deliberately used to prevent a Client from operating equipment they lawfully own.

16. Data, backups and cybersecurity

16.1. The Client is responsible for maintaining appropriate backups of personal data, media and other content unless a backup service is expressly included.

16.2. System configuration backups, programming databases and recovery arrangements are included only where specified in the Contract or support agreement.

16.3. Nethaus will exercise reasonable care when handling Client data and undertaking software or configuration changes.

16.4. No backup or recovery system can guarantee protection against every form of data loss or corruption.

16.5. Nethaus is responsible for loss or damage caused by its breach of contract or negligence, subject to applicable law.

16.6. The Client should maintain appropriate security for accounts, passwords, internet services and connected devices under their control.

16.7. Nethaus may recommend security updates, password changes, network improvements or equipment replacement.

16.8. Unless expressly included, ongoing cybersecurity monitoring, security patch management and incident response are not provided.

16.9. Third-party security vulnerabilities, manufacturer failures and internet-based threats may affect connected systems.

16.10. Nethaus will handle personal data in accordance with applicable data protection legislation and its published privacy information.

17. Software, licences and third-party services

17.1. Systems may depend on software, firmware, subscriptions, cloud platforms and third-party licences.

17.2. Unless expressly included, third-party subscriptions and licence renewals are the Client’s responsibility.

17.3. Manufacturer and service-provider terms may apply separately.

17.4. Nethaus cannot guarantee that manufacturers will maintain particular features, integrations, cloud services or software interfaces indefinitely.

17.5. Manufacturer changes may require additional programming, configuration, licensing or replacement equipment.

17.6. Such work may be chargeable unless expressly included within the Contract or an applicable support agreement.

17.7. Nethaus will exercise reasonable care when undertaking software updates and system changes.

17.8. Third-party service interruptions or discontinuations may affect system functionality without constituting a breach by Nethaus, unless Nethaus is independently responsible under the Contract or applicable law.

18. Completion, handover and snagging

18.1. Practical Completion occurs when the agreed system is substantially installed, commissioned and capable of performing its principal intended functions.

18.2. Minor cosmetic items, documentation updates or non-material snagging do not necessarily prevent Practical Completion.

18.3. Outstanding items will be recorded and addressed within a reasonable agreed period.

18.4. Where payment is due on Practical Completion, it becomes payable in accordance with the agreed payment schedule.

18.5. Practical Completion does not remove Nethaus’s obligation to remedy defects for which it is responsible.

18.6. The Client will be given a reasonable opportunity to inspect and report outstanding matters.

18.7. Handover may include user instruction, relevant credentials, operating information and documentation where applicable.

18.8. Additional training, extensive documentation or subsequent Client changes may be chargeable where not included in the original scope.

19. Warranties and remedial work

19.1. Nethaus will supply Goods and Services in accordance with the Contract and applicable statutory requirements.

19.2. Goods may be covered by manufacturer warranties, subject to the relevant manufacturer’s conditions.

19.3. Manufacturer warranties are additional to, and do not replace, statutory rights against Nethaus where Nethaus is the supplying trader.

19.4. Nethaus is responsible for remedying defective workmanship for which it is legally or contractually responsible.

19.5. Unless expressly stated otherwise, Nethaus provides a 12-month contractual workmanship warranty from Practical Completion, in addition to applicable statutory rights.

19.6. Warranty remedies may include inspection, repair, replacement or other appropriate action, subject to applicable law.

19.7. Warranty cover does not ordinarily extend to faults caused solely by misuse, accidental damage, unauthorised modifications, power disturbances, unsuitable environmental conditions or third-party failures.

19.8. Where a reported fault is not attributable to Nethaus’s workmanship or another matter for which Nethaus is responsible, reasonable diagnostic and attendance charges may apply where agreed or lawfully recoverable.

19.9. Nethaus may request reasonable access to inspect and remedy reported defects.

19.10. Manufacturer warranties may operate on a return-to-base or parts-only basis. Where Nethaus is not legally or contractually responsible for associated labour, removal, reinstallation or attendance, those services may be separately chargeable with Client approval.

19.11. Nothing in these terms excludes mandatory rights to repair, replacement, price reduction, refund or other statutory remedies.

20. Maintenance, support and Netcare

20.1. Nethaus provides maintenance and support through individual service arrangements, chargeable attendance and Netcare support plans.

20.2. The scope, duration, charges and included services of each Netcare plan are identified in the applicable quotation, order confirmation or agreed plan schedule.

20.3. These standard terms apply to all Netcare plans. The relevant plan schedule identifies the services purchased and forms part of the Contract.

20.4. Unless expressly agreed, Netcare does not guarantee uninterrupted operation, immediate attendance or a particular fault-resolution time.

20.5. Response targets, where offered, are service objectives rather than guarantees unless expressly identified as contractual service levels.

20.6. Remote support depends on suitable internet connectivity, equipment availability, valid licences and required access permissions.

20.7. Faults caused solely by third-party internet services, electrical supplies, manufacturer platforms or external dependencies may fall outside the included support scope.

20.8. Equipment replacement, major upgrades, consumables and additional installation work are excluded unless expressly included.

20.9. Plans may distinguish between included remote assistance, scheduled maintenance, on-site attendance and chargeable additional services.

20.10. Nethaus may recommend updates, repairs or replacement equipment necessary to maintain reliability, security or compatibility.

20.11. Work outside the agreed plan scope will be separately quoted or authorised.

20.12. Renewal dates, prices, renewal procedures and applicable notice requirements will be specified in the relevant service agreement.

20.13. Fixed-term support agreements will not automatically renew unless the agreed terms expressly provide for renewal and applicable legal requirements are satisfied.

20.14. Consumer cancellation and refund rights remain subject to applicable law.

21. Appointment cancellation and postponement

21.1. Clients should provide reasonable notice when cancelling or postponing agreed appointments.

21.2. Where an appointment is cancelled or postponed at short notice, Nethaus may recover reasonable, evidenced losses or costs arising directly from the cancellation, where agreed or otherwise lawfully recoverable.

21.3. Such costs may include wasted attendance or specifically committed labour that cannot reasonably be reassigned.

21.4. Charges will not exceed amounts lawfully recoverable and will not operate as penalties.

21.5. Where Nethaus cancels or postpones an appointment, it will seek to arrange a reasonable alternative.

21.6. Any statutory rights concerning delay, cancellation or non-performance remain unaffected.

22. Delays and circumstances outside our control

22.1. Project programmes may depend on equipment availability, site readiness, other contractors, permissions, deliveries and technical prerequisites.

22.2. Nethaus will use reasonable efforts to meet agreed dates and notify the Client of material delays.

22.3. Nethaus is not responsible for delays to the extent caused by circumstances outside its reasonable control, provided reasonable steps are taken to mitigate the consequences.

22.4. Such circumstances may include manufacturer shortages, transport disruption, severe weather, utility failures, widespread network outages and other events beyond reasonable control.

22.5. Where the Client or another contractor causes delay, the programme may be reasonably revised.

22.6. Additional costs directly arising from Client-caused delay may be charged where agreed or otherwise legally recoverable.

22.7. Extended project management or coordination arising from material Client-caused delays may be separately chargeable where agreed or lawfully recoverable.

22.8. Where a delay becomes substantial, the parties will discuss revised arrangements and any applicable termination or refund rights.

22.9. Statutory remedies for failure to deliver goods or perform services within legally required timescales remain unaffected.

23. Suspension and termination

23.1. Either party may terminate a Contract where the other commits a material breach and fails to remedy it within a reasonable period following written notice, where the breach is capable of remedy.

23.2. Nethaus may suspend work on reasonable written notice where payment is materially overdue, essential access is denied or unsafe conditions prevent work.

23.3. Work may be suspended without prior notice where an immediate and serious safety risk exists.

23.4. Upon termination, the parties will account for Goods supplied, Services performed, advance payments and other sums properly due.

23.5. Refunds and termination charges will be calculated in accordance with the Contract and applicable law.

23.6. Nethaus will not deliberately damage, disable or interfere with a Client’s installed system as a means of recovering payment.

23.7. Termination does not affect rights and liabilities already accrued or provisions intended to survive termination.

24. Liability and insurance

24.1. Nethaus will exercise reasonable care and skill in performing its contractual obligations.

24.2. Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or any other liability that cannot lawfully be excluded or limited.

24.3. Nothing in these terms restricts statutory rights or remedies available to Consumers.

24.4. Nethaus is responsible for reasonably foreseeable loss or damage caused by its breach of contract or negligence, subject to applicable law.

24.5. For Business Clients only, Nethaus excludes liability for indirect or consequential loss, loss of profit, loss of revenue and loss of business opportunity, to the extent such exclusions are lawful and reasonable.

24.6. For Business Clients only, and subject to clause 24.2, Nethaus’s total aggregate liability arising from a Contract shall not exceed the total price paid or payable under that Contract, except where such limitation is unenforceable or unreasonable under applicable law.

24.7. Project-specific liability arrangements may be agreed in writing.

24.8. Nethaus is not responsible for failures attributable solely to third-party services, equipment or infrastructure outside its control, but remains responsible for its own breach, negligence or failure to exercise reasonable care and skill.

24.9. Nethaus maintains appropriate business insurance for its activities. Evidence of relevant cover may be provided upon reasonable request.

24.10. Both parties should take reasonable steps to minimise avoidable losses arising from any breach or incident.

25. Complaints and dispute resolution

25.1. Clients should raise concerns promptly, providing sufficient information for investigation.

25.2. Nethaus will acknowledge complaints within a reasonable period and seek to resolve them fairly and proportionately.

25.3. Where a dispute concerns workmanship or equipment performance, Nethaus may request reasonable access to inspect the installation.

25.4. The parties will attempt to resolve disputes through direct discussion before commencing formal proceedings, where practicable.

25.5. Where applicable construction legislation grants a right to adjudication, that statutory right is unaffected.

25.6. The parties may agree to use an appropriate adjudication, mediation or other dispute-resolution procedure where suitable.

25.7. Nothing prevents a Consumer from exercising statutory rights, seeking advice from an appropriate consumer protection body or commencing legal proceedings.

25.8. Nethaus will comply with any applicable obligation to provide information about alternative dispute resolution.

26. Governing law and jurisdiction

26.1. Unless mandatory law requires otherwise, Contracts with Nethaus are governed by the laws of England and Wales.

26.2. For Business Clients, the courts of England and Wales have exclusive jurisdiction unless expressly agreed otherwise in writing.

26.3. For Consumers, these provisions do not deprive the Consumer of mandatory protections or rights to bring proceedings in a court available under applicable law.

26.4. Where a Contract has a relevant connection with Jersey, mandatory Jersey legislation applies to the extent required by law.

26.5. Any provision conflicting with mandatory applicable law shall be interpreted or disapplied only to the extent necessary to preserve the remaining lawful provisions.

27. General provisions

27.1. Contractual notices and communications may be given by email or other agreed written methods, subject to mandatory legal requirements.

27.2. If any provision is held unenforceable, the remaining provisions continue in effect so far as legally possible.

27.3. A delay or failure to enforce a contractual right does not automatically constitute a waiver of that right.

27.4. Neither party may transfer its contractual obligations without the other’s consent, except where permitted by law or expressly agreed.

27.5. Nethaus may use suitably qualified employees and subcontractors and remains responsible for their work in accordance with the Contract.

27.6. Nothing in these terms creates a partnership, employment relationship or agency between the parties.

27.7. No person other than the parties has rights to enforce the Contract except where required by applicable law.

27.8. These terms, together with the accepted quotation and expressly incorporated documents, constitute the contractual agreement between the parties.

27.9. Updated website terms apply to future Contracts only, unless an existing Client expressly agrees to a change or the Contract lawfully permits it.

27.10. The version applicable to a Contract is the version provided or identified when the Contract was formed, subject to subsequently agreed amendments.
